Commercial due-diligence

OBM Consultancy has recent experience of preparing a company for trade sale and also experience of searching for potential acquisitions for a third party. Whilst this facility will depend largely on market activity within the M&A sector, it is anticipated that future commissions will operate in two distinct ways:

• To act on a brief from a commercial buyer who wishes to initially assess the potential of a business before engaging professional advisors and the shaping of an offer.

• To work as part of a team with a corporate finance consultancy, accountancy practice or commercial law company. Whilst the parameters are clearly established for both the accountants and lawyers, OBM would examine commercial aspects of the business for sale. The client base would be interrogated for length of contract, net worth, margins, future potential of the contracted relationships and the sectors occupied. Relationships with customers, market share, company reputation and standing, effectiveness of marketing and intellectual property will all be scrutinised to establish net worth.
